1. Acceptance of terms

By accessing this website (tekanics.com) or engaging Tekanics LLC ("Tekanics," "we," "us," or "our") for any services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use this website or engage our services.

These Terms apply to your use of this website and govern the general relationship between you and Tekanics. Specific consulting engagements are governed by a separate written Statement of Work or engagement agreement executed between the parties, which shall control in the event of any conflict with these Terms.

2. Services

Tekanics provides technology consulting services, including AI automation design, system integration, software development, and related advisory services to business clients. Services are rendered on a project basis under fixed-scope engagement agreements. No ongoing services, support obligations, or retainer relationship is created by these Terms or by any discovery call, proposal, or preliminary discussion unless expressly set forth in a signed engagement agreement.

Tekanics reserves the right to decline any engagement at its sole discretion, without obligation to provide a reason.

3. Website use

This website is provided for informational purposes only. You may use this website solely for lawful purposes and in accordance with these Terms. You agree not to:

• Use this website in any way that violates applicable federal, state, local, or international law
• Scrape, harvest, or systematically collect data from this website without our prior written consent

7. Indemnification

You agree to defend, indemnify, and hold harmless Tekanics LLC and its members, managers, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of this website; (c) any content you submit through this website; or (d) your violation of any applicable law or the rights of any third party.

8. No professional-client relationship

Use of this website, submission of an inquiry, or participation in a discovery call does not create an attorney-client, consultant-client, fiduciary, or any other professional relationship. No such relationship is formed until a written engagement agreement is signed by both parties. Any information shared during a discovery call is for preliminary scoping purposes only and does not obligate Tekanics to perform any services.

9. Confidentiality

Any business information you share during a discovery call or preliminary discussion will be treated with reasonable discretion. However, unless a separate non-disclosure agreement is executed in writing, Tekanics is not bound by confidentiality obligations with respect to pre-engagement discussions. If confidentiality is required from the outset, please request an NDA before sharing sensitive information.

This website may contain links to third-party websites or services (including Cal.com for scheduling). These links are provided for convenience only. Tekanics has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. Your use of any linked third-party service is governed by that service's own terms.

11. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of this website shall be resolved exclusively in the state or federal courts located in Union County, New Jersey. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

BEFORE INITIATING ANY FORMAL PROCEEDING, YOU AGREE TO CONTACT TEKANICS AT info@tekanics.com AND ATTEMPT TO RESOLVE THE DISPUTE INFORMALLY FOR A PERIOD OF THIRTY (30) DAYS.

12. Waiver of jury trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TEKANICS EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THIS WEBSITE.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
